These terms govern your use of the Odyon platform. We've written them to be as clear as a perfect sine wave. Please read them carefully.
1. Acceptance of Terms
By accessing or using the Odyon platform — including the web studio, the Odyon Copilot, and the Odyon desktop plugin — you agree to be bound by these Terms of Service. If you do not agree to all of the terms outlined here, you may not use the service. You must be at least 13 years old to use Odyon (or at least 16 if you reside in the European Economic Area and do not have parental consent). By creating an account you represent that you meet this requirement.
2. Accounts & Eligibility
Accounts are created and managed through our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. One account per person. You may not share, sell, or transfer your account, and you may not create accounts through automated means or under false identities.
3. Plans, Gems & Billing
Odyon offers a free Hobby plan (30 Gems, granted once when you sign up) and paid subscriptions: Pro ($19/month, 500 Gems) and Studio ($49/month, 1,500 Gems). Gems are the platform's internal generation credits: each AI operation (music generation, MIDI editing, voice conversion, vocal rendering, and similar) consumes a published number of Gems. Gems are not money. They have no cash value, are non-transferable between users, and cannot be redeemed or exchanged for currency. Paid monthly grants add to your existing balance. Subscription expiry does not reset that balance. Payments are processed by Lemon Squeezy, acting as Merchant of Record — Odyon never receives or stores your card details. You may cancel your subscription at any time; your paid features remain active until the end of the current billing cycle. When a subscription ends — by cancellation, expiry, or failed payment — your account reverts to the Hobby plan. Gems you already hold are not taken away, but paid features — including the monthly Gem grant — end with the subscription. Refunds and the 14-day right of withdrawal for EU/EEA/UK consumers are set out in Section 3A.
3A. Right of Withdrawal (EU, EEA and UK consumers)
If you are a consumer resident in the European Union, the European Economic Area or the United Kingdom, you have the right to withdraw from a subscription contract within 14 days of the day you entered into it, without giving a reason. To withdraw, send a clear statement (an email is enough) to legal@odyon.ai from the email address on your Odyon account, saying that you withdraw. You may use the wording "I hereby withdraw from my Odyon subscription contract concluded on [date]", but you do not have to. Your notice is in time if you send it before the 14 days end. We will refund the payment for that contract within 14 days of receiving your notice, using the original payment method; Lemon Squeezy, as Merchant of Record, processes the refund. Odyon subscriptions are digital content supplied immediately: Gems are delivered to your account as soon as payment completes. Before checkout we ask you to expressly request immediate delivery and to acknowledge that, once delivery has begun, you lose the right of withdrawal. If you give that request and acknowledgment, the right of withdrawal does not apply to that contract. If you did not give it, you may withdraw as described above. This section applies to every subscription contract, whatever its billing period. Outside the EU, EEA and UK, and in every case where the right of withdrawal has been lost as described, subscription payments are non-refundable except where the law requires otherwise. Gem refunds for failed generations are a separate mechanism, described in Section 4. Our Refund & Cancellation Policy sets all of this out on a page of its own.
4. Automatic Gem Refunds
We believe you should only pay for results. If a generation fails due to a technical error on our side, the Gems charged for that operation are refunded to your balance automatically. Each automatic refund is linked to the original operation and can never exceed the Gems charged for it, less any amount already refunded. Repeated reports of the same failure do not create another refund. If the provider has not confirmed whether a job succeeded or failed, the operation remains pending while its status is checked. This mechanism covers Gem credits only — it does not create a right to cash refunds.
5. License & Ownership of Generated Content
Odyon operates on a "You Generate It, You Own It" philosophy, with the scope of your license determined by your plan: — Hobby (free): you receive a personal, non-exclusive, non-commercial license to use the audio and MIDI you generate. Commercial release, monetization, and sync licensing are not permitted on the free plan. — Pro and Studio: you receive full, 100% royalty-free commercial rights to the audio, MIDI, and presets you generate — use them in songs, games, films, or any other media and keep all revenue. Regardless of plan, you may not package and resell the raw output of our models as standalone sample packs or preset libraries, use outputs to train any audio machine-learning model, competing or not — the licence behind our sound-effect engine prohibits it — or otherwise compete directly with the Odyon platform. Your rights in generated content are also conditional on your inputs not infringing third-party rights — for example, feeding copyrighted lyrics into the lyrics generator does not give you rights in the resulting work. Content you generated on the Hobby plan before 1 September 2026 keeps the licence terms that were displayed when you created it.
6. Acceptable Use
You agree not to use Odyon's generation, extraction, or voice tools to: - Infringe the copyright, trademark, voice, personality, or other rights of any person or entity. - Generate or distribute content that is unlawful, hateful, harassing, or deceptive. - Upload audio you do not have the rights to process. - Overload, scrape, or reverse-engineer the service, or circumvent Gem accounting, rate limits, or authentication. Use of the voice features is additionally governed by our AI Voice & Ethical Use Policy, and copyright complaints are handled under our DMCA Policy (see links in the footer). Violations may result in content removal and immediate account termination without refund.
7. Your Content & Community Sharing
Odyon is a community platform, and creations are published to the public Explore gallery by default. That applies on every plan: what you generate, the audio you extract stems from, and the MIDI you upload become visible to other users unless you make them private. Pro and Studio include Stealth Mode, which keeps new creations private from the moment they are made. On any plan, including Hobby, you can unpublish an individual creation at any time from its own page — that control is not plan-gated. While a creation is published you grant Odyon a worldwide, royalty-free, non-exclusive license to host, display, and stream it within the platform. Unpublishing ends that license for future display. Serum presets are always private and are never published. You retain ownership of your uploaded and generated content at all times, subject to the license terms in Section 5.
8. Odyon Copilot & Assistant Data
The Odyon Copilot stores your conversations, attachments, and a set of long-term preferences (such as favorite genres or skill level) in order to provide a personalized experience. This data is used to operate the feature and is handled as described in our Privacy Policy. Copilot responses are AI-generated suggestions, not professional advice. Proposed actions (such as modifying your project) are only executed with your confirmation.
9. Third-Party Services
Odyon's generation pipeline relies on third-party infrastructure and AI model providers (described in our Privacy Policy). While we choose our providers carefully, we do not control them and cannot guarantee uninterrupted availability, generation speed, or specific output quality. Features may be modified, suspended, or discontinued as our provider landscape evolves.
10. Copyright Complaints (DMCA)
Odyon respects intellectual property rights and expects its users to do the same. If you believe content on the platform infringes your copyright, follow the takedown procedure described in our DMCA Policy and contact our designated agent at copyright@odyon.ai. We will remove or disable access to infringing material and, in appropriate circumstances, terminate the accounts of repeat infringers.
11. Disclaimer of Warranties
The Odyon platform and its AI models are provided "as is" and "as available", without warranties of any kind, express or implied. We do not warrant that generative outputs will meet your artistic or commercial requirements, that outputs will be unique or non-infringing in every jurisdiction, or that the service will be uninterrupted or error-free.
12. Limitation of Liability & Indemnification
To the maximum extent permitted by law, Odyon Audio, its founders, directors, and developers shall not be liable for any indirect, incidental, special, or consequential damages — including lost profits, lost data, or lost projects — arising from the use of, or inability to use, the platform or its outputs. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim. You agree to indemnify and hold Odyon harmless from claims arising out of your content, your inputs, or your breach of these Terms.
13. Termination
You may stop using Odyon and delete your account at any time from Settings → Security → Privacy & Data. Deletion is immediate and permanent: your creations, projects, files and Copilot history are erased and cannot be recovered. If you have a subscription that is still active or has a payment pending, you must cancel it through the billing portal before deleting your account — we do not delete accounts that can still be charged. We may suspend or terminate your account for material breach of these Terms — including intellectual-property violations and misuse of the voice tools — with immediate effect and without refund of subscription fees or remaining Gems. Upon termination, your license to use the platform ends. Content you generated under a commercial license before termination remains yours under the terms in effect when it was created.
14. Changes, Governing Law & Contact
We may update these Terms as the platform evolves. When we make a material change we will post the updated Terms here with a new effective date, and show a notice in the app on your next visit. Continued use after changes take effect constitutes acceptance. These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles, and disputes shall be resolved in the competent courts of Tel Aviv, Israel — except where mandatory consumer law in your country of residence provides otherwise.
