This agreement covers the Odyon desktop plugin for your DAW. Short version: it's licensed to you personally, don't take it apart, and always save your projects.
1. Scope
This End User License Agreement ("EULA") governs your installation and use of the Odyon desktop plugin — currently distributed in VST3 and AU formats for macOS ("the Plugin"). It supplements, and should be read together with, the Odyon Terms of Service; where the two conflict regarding the Plugin, this EULA controls. By installing or using the Plugin, you agree to this EULA. If you do not agree, do not install the Plugin.
2. License Grant
Odyon Audio grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Plugin on devices you own or control, solely for use with your Odyon account. Plugin access is a feature of paid Odyon plans. Your license is tied to your account and active plan — it does not grant ownership of the Plugin or its code, and all rights not expressly granted are reserved by Odyon Audio.
3. Restrictions
You may not, and may not permit anyone else to: - Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Plugin. - Attempt to extract, intercept, or replicate the Plugin's communication protocol with Odyon's services, or circumvent its authentication. - Copy (except for reasonable backup), modify, rent, lease, sell, sublicense, or redistribute the Plugin. - Use the Plugin to build a competing product or service.
4. Account & Connectivity
The Plugin operates as a connected client of the Odyon platform: it authenticates using your Odyon account session and requires an active internet connection for generation, extraction, and preset features. There is no offline generation mode. Your use of Odyon services through the Plugin — including Gem consumption and content licensing — is governed by the Terms of Service and Privacy Policy.
5. Updates & Compatibility
We may release updates that add, change, or remove Plugin functionality, and we may require an update for continued use. While we test against major DAWs (such as Ableton Live, FL Studio, Logic Pro, and Cubase), DAW and operating-system compatibility is not guaranteed across all versions and configurations, and support for specific hosts or formats may change over time.
6. Disclaimer & Limitation of Liability
THE PLUGIN IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, Odyon Audio shall not be liable for any crash, freeze, audio dropout, project corruption, or data loss occurring in your DAW or on your system in connection with the Plugin, nor for any indirect, incidental, or consequential damages arising from its use or inability to use it. We strongly recommend saving your DAW projects frequently and keeping backups.
7. Termination
This license terminates automatically if you breach this EULA, if your Odyon account is terminated, or if your plan no longer includes Plugin access. Upon termination you must stop using the Plugin and delete all copies from your devices. Sections 3, 6, and 8 survive termination.
8. Governing Law & Contact
This EULA is governed by the laws of the State of Israel, without regard to conflict-of-law principles, except where mandatory consumer law in your country of residence provides otherwise. Questions about this EULA: legal@odyon.ai.
